1. Scope & Application

This Vendor & Supply Chain Code of Conduct ("Code") applies to all vendors, suppliers, subcontractors, logistics partners, freight carriers, and operating partners engaged by ATX Global Ventures, LLC in connection with any product, service, or logistical arrangement. By accepting a purchase order, contract, or teaming agreement from ATX Global Ventures, all parties agree to comply with the standards set forth in this Code.

Given ATX Global Ventures' focus on food-grade commodity supply — including certified dietary products — food safety and certification integrity requirements carry particular weight in this Code and are enforced without exception.

2. Ethical Sourcing & Labor Standards

Suppliers must comply with all applicable labor, safety, and environmental laws in the jurisdictions where they operate. Specifically, ATX Global Ventures does not knowingly do business with any supplier engaged in:

  • Forced labor, bonded labor, or involuntary prison labor
  • Child labor, in violation of ILO conventions or applicable local law
  • Human trafficking or any form of modern slavery
  • Unsafe or unhealthy working conditions in violation of applicable occupational safety standards

These prohibitions are consistent with applicable law, including FAR combating-trafficking-in-persons requirements applicable to federal contracts. Suppliers engaged on federal contracts must flow down applicable trafficking-related clauses to their own sub-tiers.

3. Food Safety & Certification Integrity

Suppliers of food products — including proteins, packaged goods, and beverages — must hold and maintain all permits, registrations, and certifications applicable to their products and facilities under federal and Texas state law. This includes, without limitation:

  • USDA inspection status for meat and poultry processors
  • Texas DSHS food handling and wholesale distribution permits
  • Cold chain temperature-control compliance for perishable goods

For certified dietary products — including halal-certified protein lines — the following requirements apply without exception:

  • The certification must be current, issued by a named and recognized certifying body, and cover the specific products and facilities being supplied to ATX Global Ventures
  • Certification documentation travels with the product; a certificate must accompany each shipment at the lot level
  • Any lapse, suspension, or change in certification status must be reported to ATX Global Ventures within 24 hours of discovery
  • Products affected by a certification lapse are immediately placed on hold and removed from distribution pending resolution
  • Suppliers may not commingle certified and non-certified products at any storage, staging, or processing stage

4. Trade Compliance

All import/export activity conducted on behalf of or in connection with ATX Global Ventures must comply with applicable U.S. and destination-country customs, tariff, and trade-control laws. Suppliers must provide:

  • Accurate commercial invoices and packing lists reflecting true country of origin, tariff classification, and declared value
  • Compliance with all applicable export control regulations, including EAR and ITAR where relevant
  • Timely notification of any government hold, inspection, or seizure affecting product in transit for ATX Global Ventures

5. Product Authenticity & Traceability

Suppliers must provide accurate documentation of product origin, composition, and processing history. For all food and regulated commodity lines:

  • Lot-level tracking records must be maintained and available for recall purposes for a minimum of three years
  • Country of origin, processing facility, and ingredient/component sourcing must be accurately disclosed
  • No counterfeit, adulterated, or misbranded product may be supplied to ATX Global Ventures under any circumstances

6. Environmental Responsibility

Suppliers are expected to comply with all applicable environmental laws and regulations governing their operations, including proper disposal of waste, management of refrigerants in cold-chain equipment, and compliance with applicable emissions standards. Suppliers with USDA-inspected or food-grade processing facilities must maintain current environmental and wastewater compliance records.

7. Reporting Concerns

Concerns about supplier conduct inconsistent with this Code — including food safety violations, labor violations, certification lapses, or trade-compliance failures — should be reported promptly to:

Reports may be made confidentially. ATX Global Ventures will not retaliate against any person for making a good-faith report under this Code.

8. Enforcement

Violations of this Code may result in immediate suspension or termination of the vendor relationship, withholding of payment for non-conforming product, and notification to applicable regulatory authorities where required by law. For food-safety and certification violations, ATX Global Ventures reserves the right to conduct on-site audits of supplier facilities with reasonable notice.
